1. Definitions
In these Terms & Conditions ("Terms"):
- "Company," "we," "us," and "our" refer to Solo Clash L.L.C-FZ, a limited liability company in the Meydan Free Zone (Meydan Grandstand, 6th Floor, Meydan Rd, Nad Al Sheba 1, Dubai, UAE; license number: 2538558.01).
- "Services" means the website soloclash.com, proprietary trading challenges, evaluation programmes, funded trading accounts, and related services.
- "User," "you," and "your" refer to any person accessing the Services.
- "Affiliates" are Users participating in the Affiliate Programme. Only legal entities may participate.
- "Challenge" means the trading evaluation programme offered by the Company.
- "Rulebook" means the set of rules published on the Company's website for the Challenge.
2. Acceptance of Terms
By creating an account, accessing the Services, or participating in any Challenge, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.
3. Eligibility
Participation requires that you: are at least 18 years of age; have the legal capacity to enter into binding contracts; and are not subject to legal or regulatory prohibition on trading financial instruments or participating in prop trading programmes. By registering, you represent and warrant meeting all eligibility requirements.
4. Account Registration
To access the Services, you must create an account and provide accurate, current, and complete information. You must maintain login credential confidentiality and notify the Company immediately of any unauthorised account use. The Company reserves the right to suspend or terminate accounts providing false information or violating these Terms.
5. Nature of the Services
The Services consist of a proprietary trading challenge structured as follows:
- Challenge Phase: Users pay a fee and trade a simulated account under specified conditions.
- Evaluation Phase: Users meeting performance criteria progress to an express evaluation phase.
- Funded Account Phase: Successful users may be offered access to a funded account.
Detailed trading rules, performance targets, and evaluation criteria are set out in the Rulebook, incorporated by reference.
6. Fees and Payment
Users must pay a participation fee before commencing the Challenge. All fees are non-refundable, except as required by applicable law. Payments are processed through authorised third-party providers. By paying, you agree to comply with their terms and conditions.
7. Trading Rules
Users must comply with all trading rules specified in the Rulebook. Breaches, including exceeding drawdown limits, unauthorised trading strategies, or prohibited behaviour, may result in immediate participation termination. The Company reserves the right to modify trading rules anytime. Updates take effect upon publication.
8. Prohibited Conduct
You must not: use the Services for unlawful purposes; engage in manipulative, fraudulent, or abusive trading practices; attempt unauthorised access to the Services or related systems; or interfere with or disrupt the proper functioning of the Site or Services.
9. Affiliate Program
9.1 Programme Overview
The Company operates an affiliate programme through which eligible users may earn commissions for referring new traders. The programme incorporates multiple tiers: Level 1 – Starter, Level 2, Level 3 – Pro, Level 4 – Elite, Level 5 – Inner Circle, and Legends Club. Tier criteria and commission percentages are published on the website and may be amended at the Company's sole discretion.
9.2 Commission Structure and Payment
Commission rates vary by tier and are calculated on paid challenge fees from referred traders, excluding chargebacks, refunds, taxes, or processing costs. Commissions are paid monthly by bank transfer, with no minimum payout threshold. All amounts are payable net of applicable taxes, currency conversion costs, or banking fees, borne by the Affiliate.
9.3 Prohibited Conduct
Affiliates must not engage in activity the Company considers unethical, misleading, unlawful, or harmful to its reputation, including: unsolicited or spam communications; false or misleading claims about the Company; bidding on the Company's trademarks in search engines; fraudulent or self-referral behaviour; or conduct misaligned with the Solo Clash brand.
9.4 Termination and Forfeiture
The Company may suspend or terminate an Affiliate's participation at any time, with or without cause. Upon any breach, the Affiliate shall forfeit all accrued and unpaid commissions.
9.5 KYC Requirements
Affiliates must complete identity verification (KYC) via Sumsub before receiving commission payments. Failure to complete KYC satisfactorily may result in suspension, termination, or non-payment.
10. KYC and AML Compliance
10.1 Mandatory KYC Verification
All users must complete full Know Your Customer (KYC) verification via Sumsub before accessing any trading environment. No trading activity may commence until KYC is successfully completed.
10.2 AML and Regulatory Compliance
The Company complies with applicable Anti-Money Laundering (AML) and Counter-Terrorist Financing (CFT) laws, including UAE Federal Decree-Law No. 20/2018, EU AMLD5 and AMLD6 where applicable, and the US Bank Secrecy Act and USA PATRIOT Act.
10.3 Refusal and Termination Rights
The Company may, at its absolute discretion, refuse to onboard any user, suspend or restrict account access, freeze funds or payouts, or terminate any account where KYC has not been completed satisfactorily or AML/CFT concerns exist.
10.4 Data Sharing for Compliance
The Company shares user information with Sumsub solely to fulfill KYC, AML, CFT, and sanctions screening obligations. Personal data may be shared with foreign regulators, supervisory authorities, or law enforcement agencies where required by law.
11. Third-Party Platforms and Services
The Company may provide access to third-party trading platforms as part of the Challenge. Such platforms are operated by third parties and subject to their own terms of use. The Company is not responsible for third-party platform functionality, performance, or content.
12. Intellectual Property
All intellectual property rights in the Site, Services, software, and content belong to the Company or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Services for their intended purpose. You may not copy, modify, distribute, reverse-engineer, or create derivative works based on this intellectual property.
13. Termination
The Company may suspend or terminate your account and Service access at any time, without notice, if you breach these Terms or the Rulebook, or if required by law or regulatory authorities. Upon termination, your right to use the Services ceases immediately.
14. Risk Acknowledgement
Trading in financial instruments involves significant risk, including potential capital loss. Simulated environment performance does not guarantee future results. Challenge participation does not constitute investment advice. The full Risk Disclosure Statement, available on the Site, forms part of these Terms.
15. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, consequential, or special damages, including loss of profits, arising from or in connection with Service use. The Company's total liability shall not exceed the total fees paid to participate in the Challenge.
16. Indemnity
You agree to indemnify and hold harmless the Company, its directors, officers, employees, and affiliates from any claims, damages, losses, liabilities, or expenses arising from your breach of these Terms, violation of applicable laws, or use of the Services.
17. Amendments
The Company may amend these Terms anytime by posting the updated version on the Site. Amendments take effect upon posting. Your continued Service use constitutes acceptance of revised Terms.
18. Governing Law and Jurisdiction
These Terms and any non-contractual obligations shall be governed by and construed in accordance with Dubai International Financial Centre (DIFC) law and applicable UAE law. The courts of the DIFC shall have exclusive jurisdiction to settle any dispute arising from or in connection with these Terms.
